These Terms of Use and End User Licence Agreement (the “Terms”) are an agreement between you and Sujeevan Nagarajah, trading as Vinaa in New Zealand (“Vinaa”). They apply to the Vinaa website, macOS application, trials, licences, updates, and related services, whether obtained directly or through an authorized seller.
Agreement and eligibility
By downloading, installing, purchasing, or using Vinaa, you agree to these Terms and the Privacy Policy. You must be at least 18 years old and legally able to enter this agreement. If you use Vinaa for an organization, you confirm that you have authority to bind that organization.
If you do not agree, do not install or use the app. Any rights that cannot be excluded under the law where you live remain unaffected by these Terms.
Software licence
Subject to these Terms and any applicable purchase conditions, Vinaa grants you a limited, non-exclusive, non-transferable licence to install and use the app on compatible Macs you control, up to the number of devices included with your purchase. Vinaa is licensed, not sold, and Vinaa retains all rights not expressly granted.
The licence permits personal or business use. Unless the purchase description expressly says otherwise, it is for one user. An organization may purchase a licence for an authorized worker, but a licence key may not be shared for concurrent use, published, resold, sublicensed, or made generally available. A team or shared licence is not included unless sold as such.
Trials, Perpetual licences, and Lifetime licences
- Trial: a trial provides temporary access for the stated trial period and may be limited to one trial per person or device.
- Perpetual: you may continue using the version of Vinaa to which your licence is entitled indefinitely. The purchase includes one year of updates. A paid update renewal adds another year of update eligibility; it is not required to keep using an already entitled version.
- Lifetime: you may use Vinaa and receive updates for the commercial lifetime of the Vinaa product. “Lifetime” refers to the period during which Vinaa remains commercially maintained and is not the lifetime of the buyer, the developer, or any particular device.
Updates may require a supported macOS version, compatible hardware, or third-party services. Vinaa may change, replace, or discontinue features as the product develops, provided this does not remove rights that applicable law requires Vinaa to preserve.
Activation and licence protection
Trials and paid licences may require online activation and occasional verification. You agree not to bypass licence limits or interfere with activation, trial, or update controls. Devices may be deactivated or replaced within the allowances supported by the applicable licence.
Your content
You retain ownership of the prompts, conversations, files, and other content you provide. You give Vinaa only the limited permission necessary for the app to process that content at your direction. You are responsible for ensuring you have the rights and permissions needed to use or submit the content.
AI providers and third-party services
Vinaa helps you interact with AI providers, local models, external tools, and other services that you select. Those services are independent of Vinaa and may require separate accounts, credentials, fees, and acceptance of their terms. Their availability, output, data practices, and continued compatibility are outside Vinaa's control.
You are responsible for selecting providers appropriate for your content and complying with their terms. Vinaa is not endorsed by a third-party provider merely because the app supports a connection to it.
You are also responsible for deciding whether your selected provider, model, or tool is appropriate for confidential, sensitive, or regulated information and for obtaining any permissions required to process that information. Vinaa does not guarantee that a particular workflow satisfies your legal, security, or industry obligations.
AI output and tool actions
AI output can be inaccurate, incomplete, offensive, outdated, or unsuitable. You must review output before relying on, publishing, or acting on it. Vinaa is not a substitute for professional legal, medical, financial, or other expert advice.
As between you and Vinaa, Vinaa does not claim ownership of output created at your direction. Rights in AI-generated output may depend on applicable law and the terms of your selected provider. Output may not be unique, and you are responsible for checking that your use does not infringe another person's rights.
Vinaa may allow an AI model to use tools, access selected files, or propose and perform actions. You are responsible for reviewing requested permissions, maintaining appropriate backups, and supervising actions with consequences. Do not authorize access or actions you do not understand or accept.
Acceptable use
You must not use Vinaa to:
- break the law or violate another person's rights;
- create, distribute, or facilitate malware or unauthorized access;
- harass, exploit, deceive, or cause harm to others;
- submit information you are not permitted to use or disclose;
- reverse engineer, modify, or circumvent Vinaa except where applicable law expressly permits it; or
- resell, sublicense, share, or commercially redistribute the app or a licence key.
Purchases and payment
Dodo Payments is the Merchant of Record and legal seller for purchases made through the Vinaa website. Dodo Payments processes payment, tax, invoices, fraud checks, chargebacks, and refunds under its buyer terms. Prices and the included user, device, and update allowances are shown before purchase.
Refunds are governed by the Refund Policy. A refunded or charged-back purchase may cause the corresponding licence or renewed update entitlement to be withdrawn. A purchase made through another authorized seller may also be subject to that seller's payment and refund terms.
Preview and experimental features
Features identified as preview or experimental may be incomplete, change without notice, or be discontinued. They should not be used where a failure could cause significant harm unless you have appropriate safeguards.
Ownership
Vinaa and its original software, design, branding, and documentation are owned by Vinaa or its licensors. Third-party components remain subject to their own licences and notices, available on the Acknowledgements page.
Warranty disclaimer
To the maximum extent permitted by law, Vinaa is provided “as is” and “as available.” Vinaa does not promise uninterrupted or error-free operation, continued compatibility with every AI provider or external service, or that AI output will be accurate or fit for a particular purpose.
This disclaimer does not exclude guarantees, remedies, or other rights that cannot lawfully be excluded, including applicable rights under the New Zealand Consumer Guarantees Act and equivalent consumer laws.
Limitation of liability
To the maximum extent permitted by law, Vinaa is not liable for indirect, incidental, special, consequential, or lost-profit damages arising from your use of the app, AI output, external services, or tool actions. If Vinaa is liable for any direct damages, Vinaa's total liability will not exceed the amount you paid for the licence or service giving rise to the claim.
These limitations do not apply to liability that cannot legally be limited or excluded. Some countries do not allow particular exclusions, so parts of this section may not apply to you.
Suspension and termination
You may stop using Vinaa at any time. Vinaa may suspend or terminate a trial, licence, or service for material breach of these Terms, unlawful use, licence abuse, fraud, or a refunded or charged-back purchase. Where reasonable, Vinaa will provide notice and an opportunity to remedy a breach. Termination does not transfer or delete content stored locally on your Mac.
Changes to these Terms
Vinaa may update these Terms to reflect product, legal, or operational changes. Material changes will be communicated through the website, app, or another appropriate channel. If a material change requires renewed agreement, you will be asked to accept it before continuing to use the affected service.
General
These Terms, the policies linked from them, and any purchase conditions shown at checkout form the agreement between you and Vinaa for the app and related services. If any provision is unenforceable, the remaining provisions continue to apply. A failure to enforce a provision is not a waiver of it.
Governing law
These Terms are governed by the laws of New Zealand, without regard to conflict-of-law rules. The courts of New Zealand have jurisdiction, but this does not prevent you from relying on mandatory consumer protections or courts available to you under the law where you live.
